Lava Rock Labs LLC provides professional AI systems and consultancy services, including:

• Agentic system design and implementation
• Conversational AI development
• Multi-model orchestration and AI workflow optimization
• Mobile and web application development with AI integration
• Technical consulting and AI strategy
• App maintenance, support, and AI DevOps
• Google Play Store and deployment assistance

Text messaging (SMS) terms

If you speak with our AI phone assistant, Sarah, and verbally consent to receive a text message, we may send you SMS messages to confirm appointment details, provide information you requested, or follow up on your inquiry. Message frequency varies based on your interaction with us. Message and data rates may apply.

You can opt out at any time by replying STOP to any message, or reply HELP for help. Your mobile number will not be shared with third parties or affiliates for marketing or promotional purposes. Full consent details are in our Consent Policy.

User responsibilities

You agree to:

• Provide accurate and complete information
• Use our services only for lawful purposes
• Respect intellectual property rights
• Not interfere with or disrupt our services

Payment terms

• Payment schedules will be specified in individual project agreements
• Late payments may incur additional fees
• Refunds are subject to the terms of individual agreements
• Third-party AI service costs (such as API usage) may be billed separately

Intellectual property

Unless otherwise specified in a project agreement:

• You retain ownership of your original content and data
• We retain ownership of our development methodologies, frameworks, and proprietary AI tools
• Custom code and AI systems developed for your project will be owned as specified in the project agreement
• You grant us permission to use your project as a portfolio example unless otherwise agreed in writing
• Pre-existing intellectual property remains with the original owner
• Third-party AI models and services are subject to their respective licensing terms

AI services and third-party systems

Our AI consultancy services may integrate with third-party platforms including but not limited to:

• Google Cloud
• Gemini
• Anthropic Claude
• OpenAI GPT models
• Retell AI voice services

You acknowledge that:

• Third-party AI services have their own terms and conditions
• AI outputs may require human review and validation
• We are not responsible for the accuracy or reliability of third-party AI systems
• API costs and usage limits may apply

Limitations of liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability will not exceed the amount paid for the specific service
• We are not responsible for third-party services or platforms, such as AI APIs, app stores, or hosting providers
• We do not guarantee specific AI performance metrics or outcomes
• AI-generated content is provided as a tool and may require validation

Confidentiality

We respect the confidentiality of your business information and will:

• Keep your proprietary information confidential
• Use information only for the purpose of providing services
• Not disclose information to third parties without your consent
• Return or destroy confidential information upon project completion
• Implement appropriate security measures to protect your data
• Not use your data to train AI models without explicit permission

Termination

Either party may terminate services:

• With written notice as specified in the project agreement
• Immediately for material breach of terms
• For non-payment after appropriate notice
• If third-party AI services become unavailable or prohibitively expensive

Upon termination, payment obligations for completed work remain in effect. You will receive all deliverables completed up to the termination date.

Force majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

• Natural disasters
• Government actions or regulations
• Technical failures of third-party services (including AI APIs)
• Internet or telecommunications outages
• Changes to third-party AI service availability or pricing

Warranties and disclaimers

We warrant that services will be performed with reasonable skill and care, that we have the right to provide the services offered, and that we will comply with applicable laws and regulations.

We disclaim any warranty that AI systems will be error-free or uninterrupted, responsibility for AI-generated content accuracy, and guarantees of specific performance metrics or business outcomes.

Governing law

These Terms are governed by the laws of the State of Hawaii, United States. Any disputes will be resolved in the courts of Hawaii. Both parties agree to submit to the exclusive jurisdiction of the courts in Hawaii County, Hawaii.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website, updating the "Last Updated" date above, and sending email notification for significant changes if you have provided your email. Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
